The Founder's Fund
Founders made whole for what they gave at the start — recorded from day one, repaid later, never clawed back.
At the beginning of anything there are people who give far more than they are paid: unpaid hours, money advanced, tools bought, a room lent, years of work before there was anything to work on. The founding period runs on that giving, and it cannot run any other way. What reliably poisons a founding team is not the giving — it is the forgetting. Five years on, nobody remembers who carried what, the people who gave most are the ones least able to say so without sounding aggrieved, and generosity curdles into resentment on a timetable.
The remedy is plain and should be started on the first day: a Legacy Ledger. Each founder's unpaid hours, money and assets advanced, and gifts contributed, with a modest "to be made whole" figure they all consent to. No external audit — honest mutual agreement is the whole mechanism, and it works precisely because it is settled while everyone still remembers and nobody is yet owed anything. The waterfall's fifth pool repays it, after the work is kept alive, the people paid, the cushion filled, and lenders given their capped return.
Two limits keep the instrument from becoming the thing it guards against. Being made whole is repayment of what was given plus honest pay for honest work — never a founder's share, never a claim on the body, never control. That is The asset lock, and it applies to founders first because founders are who it will be tested against. And being made whole is not permanent standing: a founder repaid is a member like any other, which is what Term Limits And Rotation and the dissolution of founding authority are for.
The instrument is the economic half of a wider discipline: contribution recorded is never retracted, and no one is ever alienated from what they gave. Proof-of-contribution states it for everyone; this states it for the people who gave before there was a ledger.
