Capital Subordinate To Purpose

The fifth of the Twelve Irreducible Elements: capital serves, and never captures.

Every cooperative body that has ever been taken over was taken over the same way. Money arrived to help. The help came with a claim. The claim became a voice. The voice became a vote. And one day the body's purpose was whatever the holders of the claim needed it to be. The element is the structural refusal of that sequence — not a warning about greed, but a design constraint written into how the body is constituted, before there is anything worth capturing.

The line it draws is between rent and reign. Capital that helped is honoured: repaid, with a fair and capped return, and thanked. What it never acquires is control — no conversion into ownership, no unbounded claim, no seat that outranks the people doing the work. This is what the canon means by capital being rented rather than enthroned. Three instruments carry it: The waterfall pays the work and the workers before any return to capital, so the order itself encodes the priority; The asset lock caps what anyone may ever extract at what they put in plus honest pay for honest work; and Constitutional Protection Of Purpose puts the purpose beyond amendment, so it cannot be voted away by a future majority or bought by a future funder.

Remove this element and the whole pattern drifts toward extraction — reliably, and without anyone deciding to. That is why it is called irreducible. It is also why the legal form matters when a body meets the old world: FSx exists to give a sovereign body an ordinary legal vehicle that cannot be owned, bought, or cashed out, so the constraint survives contact with jurisdictions built on the opposite assumption.

For a Cell in its first season the practical form is small and worth doing early: decide, out loud and in writing, what happens to anything of value the Cell builds if someone later offers to buy it. The answer decided before there is an offer is the one that will hold.
